Limited Warranty and Liability

Product information in this online catalog, with the exception of instruments, is a condensed version of our product specification. Product details on the website generally reflect the applications and conditions for use. Products should be used in accordance with the technical information sheet shipped with the product. BioLegend reserves the right to change product specifications without prior notice.

All products supplied by BioLegend are warranted, to the original purchaser only, to conform to our specifications provided with the shipment. This warranty does not extend to any product that has been modified in any way by person(s) other than BioLegend personnel or to any products that are handled contrary to the technical information sheet. Should any product fail to perform as warranted, upon notification to our Technical Service Department and investigation, BioLegend shall promptly replace it at no charge. Our obligation and your only remedy is limited to such replacement of the product or a full credit of the original purchase price of the product. BioLegend reserves the right to discontinue sales of any products or to change product descriptions and formulations at any time without prior notice to purchasers.

BioLegend does not make any other warranty or representation whatsoever, whether express or implied, with respect to these products. BioLegend does not make any warranty of suitability, non-patent-infringement, merchantability or fitness for any particular research use or other purposes of any product. The entire risk as to the performance of this product is assumed by buyer. In no event shall BioLegend be liable for incidental, consequential or punitive damages.

Instruments

Instruments sold or provided by BioLegend are warranted to meet the specifications provided in our Technical Datasheets when operated in accordance with our Instrument Manuals for a period expiring eighteen months after the purchase date indicated on your invoice, unless specified otherwise by BioLegend in writing. Should any instrument fail to perform as specified during the warranty period, BioLegend will repair or replace the Instrument or Instrument part(s) free of charge. This warranty is exclusive and limits our liability to the repair or replacement of the Instrument or Instrument part(s). ANY PRODUCT OR INSTRUMENT NOT COVERED BY AN EXPRESS WRITTEN WARRANTY IS SOLD “AS IS”, WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED. A warranty will not apply to an instrument that fails to perform its specific function due to misuse, improper storage, or accidental damage.

Software

BioLegend instruments and reagent products may be provided with, or an opportunity to obtain, software. The source code therein, including but not limited to all content and images, whether downloaded or SaaS, is either owned or licensed by BioLegend. Unauthorized use or duplication, in whole or in part, of the source code is expressly prohibited. Buyer is prohibited from using or otherwise exploiting the software in a manner not set forth in the End User License Agreement (EULA) accompanying the software.

Limited Use Label License

The purchase of this product conveys to the buyer the non-transferable right to use the purchased amount of the product and components of the product in research conducted by the buyer (whether the buyer is an academic or for-profit entity). The buyer cannot sell or otherwise transfer

1. this product
2. its components or
3. materials made using this product or its components

to a third party or otherwise use this product or its components or materials made using this product or its components for commercial purposes.

The buyer is strictly prohibited from using, studying or analyzing a product or a portion thereof to learn the respective design, construction, composition, operation or to reverse engineer, produce a copy or an improved version of the product or a functional similar material.

The buyer may transfer information or materials made through the use of this product to a scientific collaborator, provided that such transfer is not for any Commercial Purpose, and that such collaborator agrees in writing

1. not to transfer such materials to any third party and
2. to use such transferred materials and/or information solely for research and not for Commercial Purposes.

Commercial Purposes means any activity by a party for consideration and may include, but is not limited to: (1)

1. use of the product or its components in manufacturing;
2. use of the products or its components in reverse engineering functionally similar materials;
3. use of the product or its components to provide a service, information, or data;
4. use of the product or its components for therapeutic, diagnostic or prophylactic purposes; or
5. resale of the product or its components, whether or not such product or its components are resold for use in research

If the purchaser is not willing to accept the limitations of this limited use statement, BioLegend requires immediate return of the product with a full refund.

Flex-T™ Specific Limited Use License

To the extent this Flex-T™ License conflicts with the BioLegend Limited Use Label License, this Flex-T™ License controls:

A limited non-exclusive license for a purchaser to use the Flex-T™ product(s) is applicable, the product can only be used for non-commercial laboratory research. A particular use is considered non-commercial if (including but not limited to) the product is not used, directly or indirectly, for the identification, selection, development, production, quality control or monitoring the effect of a therapeutic or diagnostic product, service, biomarker, target, prediction software or other commercial product, including patenting or outlicensing research results. For uses not covered by the Flex-T Specific limited use license, a license from Sanquin is required. Please contact reagents@sanquin.nl for more information.

The Flex-T™ products and its uses are patent protected in multiple countries, in particular by patent families identified by PCT publications WO 2006/080837 and WO 2010/060439. WO 2006/080837 claims cover among others the UV-conditional peptide-MHC exchange WO 2010/060439 claims cover among others the combinatorial coding MHC detection system.

Brilliant Violet™ Specific Limited Use License

This product is subject to proprietary rights of Becton, Dickinson and Company and its affiliates. The purchase of this product conveys to the buyer a non-transferable right to use the purchased product for research purposes only. This product may not be resold or incorporated in any manner into another product for resale. Any use for therapeutics or diagnostics is strictly prohibited. This product is covered by U.S. patent(s), pending patent applications and/or foreign equivalents.

This product is provided under an intellectual property license from Life Technologies Corporation. The transfer of this product is conditioned on the buyer using the purchased product solely in research conducted by the buyer, and the buyer must not sell or otherwise transfer this product or its components for (a) diagnostic, therapeutic or prophylactic purposes; (b) testing, analysis or screening services, or information in return for compensation on a per-test basis; (c) manufacturing or quality assurance or quality control, or (d) resale, whether or not resold for use in research. The transfer of this product is conditioned on the buyer not using this product for therapeutic or prophylactic purposes, for manufacture of another product, or any other purpose not expressly authorized. Payment terms are net 30 days. A 1.5% monthly late charge may be charged to accounts that are over 30 days past due.

Orders from outside the USA and Canada typically require prepayment before shipping.
